These terms govern the use of Psygned, an electronic signature service operated by Toarc United LLC, a Wyoming limited liability company ("Toarc", "we"). Psygned is a trading name of Toarc United LLC; Toarc is the contracting party and the merchant for every purchase. By creating an account, sending a document, or using an API key you agree to these terms. Signers who use a link they were sent agree to the Electronic Record and Signature Disclosure shown before the document opens and to section 11 of these terms.
1. What Psygned does
Psygned lets a sender upload a document, place fields, invite signers by email, collect their electronic signatures, and receive a signed copy together with a Certificate of Completion that records who signed, when, and from which device. Psygned is a tool. It is not a party to any document signed through it, does not review documents for content or legal effect, and does not give legal advice.
2. Electronic signatures and what they are good for
Signatures collected through Psygned are electronic signatures in the sense of the US ESIGN Act and UETA and "simple" electronic signatures in the sense of the EU eIDAS Regulation: the signer is identified by control of the email address the sender provided, the signer agrees to a disclosure, adopts a signature, and each step is recorded with a timestamp, the device's internet address and a unique signature identifier. Such signatures may not be denied legal effect solely because they are electronic, and are used every day for commercial agreements, employment documents, leases, consents and similar records.
They are not suitable for everything. Some records require a handwritten signature, a witness, a notary, or an advanced or qualified electronic signature with a certificate issued to the signer. Examples that are commonly excluded by law include wills, codicils and testamentary trusts; adoption, divorce and other family law matters; court orders and pleadings; notices of default, foreclosure, repossession or eviction relating to a person's home; cancellation of utility, health or life insurance services; product recall notices affecting health or safety; documents accompanying hazardous materials; and, in some countries, transfers of real property, powers of attorney and company incorporation documents. It is the sender's responsibility to decide whether an electronic signature of this kind is suitable for their document and their jurisdiction, and to obtain advice where needed.
3. The sender's responsibilities
- You have the right to send the document and to invite the people you invite, and you have a lawful basis to give us their names and email addresses.
- The names and email addresses you enter are correct and belong to the intended signers. A signing link is personal: whoever controls the mailbox can open it.
- You will not use Psygned for anything unlawful, deceptive or harmful, to impersonate anyone, to send unsolicited messages, or to obtain a signature by pressure or trickery.
- You keep your login details and API keys safe and are responsible for everything done under your account, including by software or AI assistants you connect to it.
- You keep your own copy of completed documents and certificates. They are emailed to you at completion and remain downloadable while your account exists.
4. Credits and payment
Every new account receives 1 welcome credit, which covers one document with one signer. Further credits are bought in packs at the prices shown on the pricing page, in US dollars, from Toarc United LLC. Any pack allows up to 25 signers per document. One credit is used each time a document is first sent for signature, whatever the number of signers and however many reminders are sent afterwards. Cancelling a document after it has been sent does not return the credit. Credits do not expire and stay on the account until used. Credits are not transferable between accounts.
Card payments are processed by our payment provider; we do not see or store card numbers. Your receipt names Psygned and Toarc United LLC as the seller, and your card statement will show "PSYGNED* TOARC UNITED". Prices exclude any VAT or sales tax we are required to collect, which is shown at checkout. Pack prices may change with at least 30 days notice by email; credits already bought are unaffected. Until card payment is available in the app, credits are added by hand on request.
Refunds: unused credits from a pack may be refunded in full within 14 days of purchase on request to [email protected]. Credits that have been used are not refundable. If you are a consumer in the EU, the UK or another place with a statutory right of withdrawal for digital content, you ask us to make the credits available immediately at checkout and acknowledge that using a credit within the withdrawal period ends the right to withdraw for that credit; unused credits remain refundable as above.
5. Records, retention and deletion
- Unsent drafts are removed automatically 30 days after they were created, together with the uploaded file. This is shown in the app before you leave a draft.
- Documents that were sent, whether completed, declined or cancelled, are kept with their record of events for as long as your account exists, so the evidence stays available to every party.
- A sent document cannot be edited by anyone, including you or us. Its original and completed files are fingerprinted (SHA-256) and the fingerprints are printed on the certificate.
- If you close your account, documents and files are deleted within 30 days, except for records we must keep by law. Download what you need first. Other parties keep the copies that were emailed to them.
6. API, MCP and automated use
You may create API keys to use Psygned from your own software or from an AI assistant through our MCP server. Everything done with a key counts as done by you and spends your credits. Keep keys secret, revoke any key you no longer need, and do not share a key between organisations. We may apply reasonable rate limits, and may suspend keys that send abusive traffic or documents to people who have not agreed to receive them. The API is provided as described in the developer guide and may change with notice; we will keep the current version working for at least 90 days after announcing a replacement.
7. Availability and changes
We aim to keep Psygned available at all times but do not promise uninterrupted service. We may change or withdraw features, and will give reasonable notice of changes that reduce what you can do. If we ever close the service, we will give at least 60 days notice by email and keep downloads available during that time.
8. Data
How we handle personal data is described in the privacy policy. For signer data, the sender is the controller and Toarc United LLC the processor; these terms, together with the privacy policy, form the processing instructions, and we process signer data only to provide the service, keep it secure and comply with law. We will help senders respond to signer requests about their data and will tell senders without undue delay of any personal data breach affecting their documents.
9. Liability
Psygned is provided as is. To the extent the law allows, Toarc United LLC is not liable for indirect or consequential loss, lost profits, or for the content, validity or enforceability of any document signed through the service. Our total liability for any claim is limited to the greater of $100 and the amount you paid for the service in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
10. Closing your account
You can close your account at any time by emailing [email protected]. We may suspend or close accounts that break these terms, with notice where practical. Completed documents remain with the other parties who received them.
11. Signers
If you are asked to sign a document, you do not need an account and you pay nothing. You agree to the Electronic Record and Signature Disclosure before the document opens, and you may decline to sign at any time before you finish. Your name, email address, signature, the times of your actions, your device's internet address and a signature identifier are recorded and shared with the sender and the other signers on the Certificate of Completion. Questions about the document go to the sender; questions about the service or your data go to [email protected].
12. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law rules, and any dispute is subject to the state and federal courts located in Wyoming, unless the law where you live gives you protections or a home forum that cannot be waived.
